We work with leading law firms and emerging manager communities. Role Description

This is a fractional Chief Legal Officer role focused on private funds. You will serve as the senior legal authority for the Swift Law platform, providing legal oversight and guidance for core fund formation matters executed through the platform. The role involves advising on fund structure and regulatory compliance, reviewing escalations from automated workflows, and ensuring that fund formation outputs remain legally sound as the platform scales. Responsibilities • Advise on and approve fund structures relying on exemptions from registration under the Investment Company Act of 1940, including Sections 3(c)(1), 3(c)(5), 3(c)(7), and/or 3(c)(9), as well as other applicable U.S. federal and state law exemptions. • Oversee the structuring of securities offerings for private funds pursuant to Sections 4(a)(2) and/or 4(a)(5) of the Securities Act of 1933 and Rule 506(b) or Rule 506(c) of Regulation D, including review of offering terms and compliance posture. • Review and approve private placement memoranda (PPMs) or offering statements, including risk factors and material disclosures, to ensure compliance with U.S. federal and state securities law anti‑fraud requirements. • Provide legal oversight for fund and management entity formation, including review and approval of organizational documents (articles or certificates of organization or limited partnership); operating agreements or limited partnership agreements for the fund and its management entity; as well as investor suitability questionnaires; and subscription agreements. • Act as the escalation point for complex or non‑standard fund structures surfaced by automated workflows. • Ensure that Swift Law’s fund formation outputs remain aligned with current market practice, regulatory expectations, and defensible legal standards. Qualifications • Senior experience in private funds law and regulatory structuring • Ability to exercise sound legal judgment on complex fund matters • Strong knowledge of fund governance and regulatory frameworks • Experience overseeing legal risk in structured or systems‑driven environments • Strong analytical, organizational, and decision‑making skills • Juris Doctor (JD) and admission to the New York Bar (preferred) • Am Law, leading boutique, or former GC/CLO background preferred Expected commitment
